Facts of the case:
Alexander Samuel & Co (“the Firm”) which converted to Alexander Samuel & Co LLP (“the LLP”) was a practice which made and pursued damages for personal injuries arising out of road traffic accidents, and employers liability claims. Cases were taken on a conditional fee basis and the Firm and the LLP were funded in this respect by lenders, including Clydesdale Financial Services Limited (“Clydesdale”), and Justice Claimant Limited (“Justice”).
In February 2009, Mr Denenza the prime person behind the Firm and LLP realised that there were financial difficulties and sought help from a solicitor who had acted for the LLP and had also acted for a practice in Bolton where Mohammed Hussain Jiva, a solicitor acted. The solicitor introduced Mr Denenza and Mr Jiva who met for the first time on 16 February 2009. There were two further meetings and a deal was agreed. Mr Denenza was offered a remuneration package of £120,000 per annum plus £20,000 of expenses.
